I am in need of a contract to cover maintenance, and monitoring on
about 75 existing alarm systems, and maintenance on video systems for
the same accounts. The accounts are owned by the same group. The
contract will be for a period of 5 years. In addition to the above,
new work will be included in the contract. I have not spoken to an
attorney yet, since I don't know just what to ask for. Is there a
model business contract available somewhere, or should an attorney
have one? I want the contract to be fair to both the customer and
myself, but do not know just what to include, so far as what I will be
expected to do, how to cover inflation on the yearly price, etc. If
Anyone can offer a starting place for this, I would greatly appreciate
it. Thanks.

There are several contracts available on the web, but some of them leave a lot
out. "You get what you pay for"... :)

Most attorneys wouldn't be all that familiar with an alarm agreement that
includes maintenance. What we wound up doing was using clauses and some wording
from a number of well written contracts (from some rather "big" names in the
industry) and tailoring one that both we, our Lawyers, and our customers could
live with.

Sounds like one of our contracts just might prove to be a good "starting point"
for you. I've no idea how some of the clauses would "work" in the US though...

how to cover inflation on the yearly price


This isn't a good idea. Years ago, I recall one Chubb customer that wound up
paying something over $40.00 per month for monitoring after fifteen years of
renewals (at Chubb's standard CoL allowance contract clause). New customers
were being signed up at $20.00 per month. Chubb managed to retain him as a
customer by giving him three years monitoring free (but only after he
complained). You want to keep 'em for five years, you're going to have to give
them something that's "worth their while". They could very easily "tender" what
they need on the open market on an annual or bi-annual basis. We have a couple
of Government contracts like that... They're a pain in the butt but well worth
the extra effort... :))
